TESIR "TERMS OF USE"

These terms of use are provided to you by DCBA Danışmanlık Limited Şirketi, the service provider of the "Tesir" service.

1. INTRODUCTION

Types of Services

Your access to and use of our website and mobile applications (Tesir-owned websites and applications are referred to as the "Digital Platform") and all services offered by TESIR through Digital Platforms (limited or unlimited) are subject to your compliance with these Terms of Use. Whether you use the Digital Platform with or without creating an account, you are subject to these terms; therefore, we recommend that you read them carefully. Conditions of distance sales agreements for purchases made through our Digital Platforms are reserved. Agreements regarding services offered at tesir.io may include the following. Not every Tesir Digital Platform may include product or service sales; some services and features may be available only to users with an account.

  • Agreement for the Sale of Indefinite Term Monthly Auto-Renewing Subscription Service ("Monthly Subscription")
  • Agreement for the Sale of 1-Year Term Auto-Renewing Subscription Service ("Annual Subscription")
  • A free 7-day trial period is available. During this period, there is a limited right of use and content generation capability.

Account Creation, User Information and Account Deletion

To browse more on our website and applications (the "Digital Platform"), access free services, and purchase services, you may be required to create an account. You are solely responsible for the accuracy of the information you provide when creating your account and for protecting/safeguarding the password you set. If we detect that your login credentials have been shared with third parties, we may exercise our legal rights and immediately terminate all services provided to you and close your account.

Updating Account Information

In order for us to fulfil many of our legal obligations towards you in compliance with applicable laws, it is very important that the information you provide to us is accurate and up to date. We recommend that you keep your account information up to date via your profile page or by contacting us through support channels.

2. SERVICES OFFERED ON DIGITAL PLATFORMS

We provide access to various digital materials ("Content"), including video, written and visual content, AI (Artificial Intelligence) supported content, podcasts, and written document materials. There are multiple ways to benefit from our services. While an account may be sufficient to access some services, using other services may require a paid subscription or content-based purchases. For content-based purchases, you will have access only to the relevant content for the period specified. Before purchasing services, we inform you about the scope via pre-information forms and ask you to electronically approve distance sales agreements.

3. TRIAL VERSIONS

From time to time, we may activate a trial service for a limited period to allow you to access the paid monthly subscription service without payment or with discounted fees. To access monthly subscription services without payment, you must create an account and save your payment method information. If the trial period of the paid subscription is not cancelled before it ends, the relevant service fee will be charged from the saved payment method.

4. THIRD-PARTY APPLICATIONS AND DEVICES

Services provided by TESIR through the Digital Platform may be integrated with third-party applications and devices. Your use of such third-party applications and devices may be subject to additional terms between you and the third party. Some applications and devices may not be compatible with accessing our services. Therefore, we do not provide any warranty for Digital Platform services that you access through third-party applications and devices.

5. OUR RIGHT TO MODIFY DIGITAL PLATFORM SERVICES

In order to provide you with the best user experience, we may make changes to digital platform technology, our services and our pricing policy. We do not have any liability to you when making these changes; however, we take care not to violate your legal rights.

What Do Our Rights to Change Cover?

  • Interruptions may occur due to technical issues and maintenance periods on websites and applications through which our services are accessed.
  • We may perform temporary interruptions for testing or to deploy changes.
  • We may be unable to provide services for a certain period due to official authority decisions or third-party attacks.
  • We may change the price of the indefinite term monthly auto-renewing subscription service at any time. We will notify you before the renewal period.
  • We may remove certain content from the Digital Platform due to copyright policies and contractual obligations. Users who purchased subscription services cannot request a refund due to removal of content.
  • We may later convert free services into paid services.

6. OUR COPYRIGHT, TRADEMARK AND COMMERCIAL RIGHTS

Our Content Copyright (License) Rights

When you create an account on the Digital Platform or purchase a service/content, you will have an access right for the period specified in the relevant agreements. Creating an account or purchasing a service does not mean you have a license to the content (written, visual, audio, AI, and all kinds of digital works). Copyright of all audio/visual content accessible on the Digital Platform belongs to TESIR and business partners contributing to the creation of the content. You may not reproduce, distribute, publish or sell any content on the Digital Platform.

Our Trademark Rights

TESIR’s trademarks, service marks, trade name and domain names belong solely to DCBA Danışmanlık Limited Şirketi. Other intellectual property rights such as software code and designs on Digital Platform websites and applications may not be imitated, copied, or used for commercial/personal purposes.

7. PAYMENTS AND RIGHT OF WITHDRAWAL

How Do We Collect Payments?

We collect payments securely through our partner electronic payment institutions. These institutions collect the fee on our behalf. You will see tesir.io and/or similar trademarks on your bank statements. You can pay using a bank or credit card. Card type may be restricted for some purchases.

Renewal

  • This applies to purchases of monthly and annual subscription services. The monthly subscription is an indefinite term service provided under an indefinite term agreement. It is not tied to a fixed period and does not contain a commitment requirement. As long as you continue to use this service, we will invoice and collect the fee each month in the same period. You can view the renewal period on your profile screen and cancel your subscription at any time. If you cancel your subscription, you may continue to benefit from the service until the end of your remaining access period. As long as you do not delete your account, you may log in to the Digital Platform where you purchased the subscription and any TESIR Digital Platform, browse our services and make new purchases. If you terminate the monthly subscription, you must wait until the remaining access period ends in order to purchase the annual subscription.
  • The annual subscription term is 12 months and may auto-renew at the end date. The service fee is charged as a single payment from your credit card. Installment options after purchase depend on terms between you and your financial institutions.

Right of Withdrawal

Services provided to you fall within the scope of Article 15(g) of the Regulation on Distance Contracts, namely "services performed instantly in an electronic environment or intangible goods delivered instantly to the consumer". Services provided under this scope are regulated as an exception to the right of withdrawal. Therefore, you do not have the right to withdraw from the services you purchased or request a refund.

8. SUPPORT REGARDING USER ISSUES

We care about resolving your issues to provide the best user experience. We inform you about each transaction on the Digital Platform and its results through "FAQ" sections on relevant web and application pages. If you cannot find an answer, you can contact us at support@tesir.io. We respond to your questions within 72 hours. If you contact us via our social media accounts about matters requiring resolution, you acknowledge that you have transferred your personal data to the relevant data controllers with your own consent; and if we respond to you via the same channel, you acknowledge that you have provided explicit consent for the transfer of your personal data to a third-party data controller.

9. DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY

We are not responsible for the scientific accuracy of digital content provided within our services, or for the implementation of information, advice and recommendations by you in your professional field.

10. YOUR PERSONAL DATA

We process your personal data carefully in order to allow you to browse and purchase services and to fulfil our legal and contractual responsibilities arising from the services we provide. You can access detailed information about processing of your personal data via our "Privacy Notice" (GDPR Information Notice) prepared in accordance with applicable laws and practices.

11. JURISDICTION, APPLICABLE LAW AND NOTIFICATIONS

Turkish law applies to disputes arising from our services and the competent courts are the Istanbul courts. All notices and warnings between you and us are made via email or notarized notices. We do not consider it a valid justification if notifications and warnings do not reach you due to you not using or being unable to use the email address you provided when creating your account. All users who are deemed to have accepted these terms acknowledge that the date of sending an email is the notice date.

12. ABOUT THESE TERMS

By browsing the Digital Platform, creating an account or purchasing services, you are deemed to have accepted these terms. If you do not comply with the terms, without prejudice to our legal rights, we will terminate all agreements we have concluded with you and stop providing services.

Changes

We may amend these terms at any time due to changes in our services, service delivery methods, general operating rules of the Digital Platform, or our business procedures. We take care that such changes do not harm your rights and we inform you in advance of any changes.
